2. Force Majeure

3. Governing Law and Jurisdiction
3.1 The Contract shall be governed by English law.
3.2 Both we and you submit to the exclusive jurisdiction of the English courts.
4.1 Neither our failure or your failure to enforce any term of the Contract constitutes a waiver of such term. Such failure shall in no way affect the right later to enforce such term.
4.2 The invalidity or unenforceability of any provision of the Contract shall not adversely affect the validity or enforceability of the remaining provisions.
5. Defined Terms
In these terms and conditions:

means these terms and conditions together with your Order;
means a customer who purchases Products otherwise than in the course of a business;
"Customer Order Number"

means all laws, regulations and orders of the United States, the European Union and the United Kingdom applicable to the export, re-export, transfer or resale of Products;
means an order placed by you in accordance with these terms and conditions;
means the order confirmation issued by us to you indicating acceptance of your Order;

means any product listed on the Thomas Telford Bookshop website which we agree to supply to you on these terms and conditions;
"Return Authorisation Documentation"
means the documentation issued by us to you for the return of Products;
means any services relating to Products (including without limitation warranty and telephone support services) that we agree to supply to you on these terms and conditions;
means any software comprised in the Products including without limitation operating systems, bundled software and stand alone software;
means all days of the week.
3) Delivery & Returns policyDelivery
We aim to deliver UK orders within 10 working days of the date of issue of your Order Confirmation and 21 working days for overseas orders. In many cases the order time will be quicker than these minimum service levels. If you are interested in an express service, then for items in stock we can deliver within two working days inside the UK for £13.50. Overseas customers interested in an express delivery are asked to email their request with their order confirmation number to firstname.lastname@example.org for a quotation. Orders must be received by 12.30 GMT Monday–Friday for express delivery.
If we are unable to deliver your Products to you within 30 working days of the date of issue of your Order Confirmation, you will have the option to cancel your Order.

If you want to return any items purchased from us please do so by using the following procedure:

1. About these Terms and Conditions
In these terms and conditions "we" and "us" means Thomas Telford Limited (wholly owned by the Institution of Civil Engineers) and "you" means you the customer. In these terms and conditions words spelt with initial capital letters are defined terms. For your ease of reference these defined terms are listed together at the end of the terms and conditions. These terms and conditions together with your Order constitute the Contract between us and you for the supply of Products. No other terms and conditions shall apply. The Contract cannot be varied unless we agree to vary it in writing or by email.
2. Placing Your Order
2.1 To place an Order you must be 18 years of age or over.
2.2 You may place an Order by:
2.2.1 following the ordering process on the ICE Bookshop website and clicking on the "Buy Now"
2.2.2 Telephoning ICE Bookshop on +44(0)20 7665 2019 between 09:30 and 17:00 (UK time) Mondays to Fridays, excluding public holidays, or faxing your order to ICE Bookshop on +44 (0)20 7665 2245.
2.3 When you place your Order, we will issue you with a Customer Order Number by e-mail unless you have placed your Order by telephone, in which case we will issue your Customer Order Number by telephone or fax.
2.4 By placing an Order, you make an offer to us to purchase the Products you have selected on these terms and conditions. We may or may not accept your offer at our discretion. If we accept your Order, we will notify you of our acceptance by issuing an Order Confirmation. We will send your Order Confirmation to you by email, verbally over the phone or by fax.
2.5 If we cannot accept your Order we will contact you by email, telephone or fax.
2.6 Information contained on the ICE Bookshop website constitutes an invitation to treat. No such information constitutes an offer by us to supply any Products.
3. Supply of Your Products
Subject to these terms and conditions, we will supply to you the Products indicated on your Order Confirmation.
4.1 The price for the Products will be the price indicated on the ICE Bookshop, but are subject to change.
4.2 VAT is only payable for electronic and other non-book products
4.3 Delivery costs are payable by you and are 10% of the order for UK Customers (up to a maximum of £8) and 20% of the order for overseas Customers (up to a maximum of £50). There is a minimum delivery charge of £2.95 to UK customers and £5.90 to overseas customers.
4.4 Trade discounts are availalbe on ICE publications only.
5. Paying for Your Products
5.1 You must pay in pounds sterling as indicated on the ICE Bookshop website.
5.3 You must supply your credit card details when you place your Order.

6. Delivery of Your Products
6.1 Unless otherwise agreed by us, we will deliver your Products to the billing address for your credit card.
6.2 We will use our reasonable endeavours to deliver your Products to you within 14 working days of the date of issue of your Order Confirmation for UK orders and 28 working days for overseas orders. If we are unable to deliver your Products to you within 30 working days of the date of issue of your Order Confirmation, you will have the option to cancel your Order.
6.3 Except to the extent that your Products comprise Software, title to and risk in your Products will pass to you on delivery.
7. Your Right to Return the Products

7.1 If you are not satisfied with any Product you have purchased from us, you may return the Product to us and obtain a refund of the price of the Product returned if you contact us within 30 Days of delivery of the Product to you. However, you may not return a Product to us and claim a refund if the Product concerned is Software which we supplied to you sealed and unused and you have broken the seal.
7.2 In order to exercise your option to return a Product you are not satisfied with, you must telephone us on +44 (0)20 7665 2019 between 09:30 and 17:00 Mondays to Fridays or email firstname.lastname@example.org to make arrangements for return of the Product to the ICE Bookshop. We will send you Return Authorisation Documentation.
7.3 Please note that we will only refund postage and packaging costs if the return is a result of our error.
8. Software Licensing
All Software is licensed to you on the terms and conditions of the applicable licence agreements. These licence agreements are shipped with the Software.
9. Our Liability
9.1 If you are a Consumer, nothing in the Contract shall limit or exclude our liability for breach of any term implied by statute. If you are not a Consumer:
9.1.1 these terms and conditions set out the full extent of our obligations and liabilities in respect of the supply of the Products and performance of the Services;
9.1.2 there are no warranties, conditions or other terms that are binding on us except as expressly stated in the Contract; and
9.1.3 any warranty, condition or other term concerning the Products or Services which might otherwise be implied into or incorporated in the Contract by statute, common law or otherwise (including without limitation any implied term as to quality or fitness for purpose) is hereby expressly excluded.
9.2 Subject to Conditions 9.1, we will not be liable under the Contract for any loss of income, loss of profits, loss of contracts, loss of data or for any indirect or consequential loss or damage of any kind howsoever arising and whether caused by tort (including negligence), breach of contract or otherwise.
9.3 Subject to Conditions 9.1 and 9.2 our maximum aggregate liability under the Contract whether in contract, tort (including negligence) or otherwise shall in no circumstances exceed the amount payable by you to us in respect of the Product(s) in question.

11. Export Control
You agree to comply with all Export Laws. You agree (i) not to export any Product to any country in contravention of any Export Law, and (ii) not to export any Product to any country for which an export licence or other governmental approval is required, without first obtaining all necessary licences or other approvals. You warrant that you are not located in, under the control of, or a national or resident of any country to which export of the Products is prohibited by any Export Law.
